Tokio Marine buys Direct Commercial for $361m

The target generated more than $272.2m in gross written premiums last year.

Tokio Marine Holdings has agreed to acquire UK-based Direct Commercial Limited for $361.0m (JPY57.3b) through its wholly owned subsidiary HCC Insurance Holdings, Inc., known as Tokio Marine HCC.

The deal has received the necessary regulatory approvals and is expected to close in September 2026, Tokio Marine said. 

The stated price represents enterprise value and was based on an exchange rate of £1 to JPY216.3 as of 31 July 2026.

Direct Commercial is a managing general agent based in Chelmsford, Essex, specialising in commercial motor insurance, particularly for haulage vehicles. Founded in 2002, the company also operates an in-house claims management function.

The company recorded more than $272.2m (JPY43.2b) in gross written premiums for the financial year ended 28 February 2026 and has about 200 employees.

Tokio Marine said the acquisition would add a UK commercial motor insurance business that does not overlap with Tokio Marine HCC's existing portfolio, supporting further diversification and profit growth.

Tokio Marine HCC, headquartered in Houston, Texas, operates in specialty insurance, including medical stop-loss, agriculture, directors' and officers' liability and professional liability. It recorded about $8.1b (JPY1.27t) in gross written premiums in 2025 and employs around 4,600 people.
