Talanx ends Meiji Yasuda partnership after buying Polish stakes

The move gives Talanx full ownership of Warta and TU Europa.

Talanx AG and Meiji Yasuda Life Insurance Company have ended their strategic partnership by mutual agreement, effective 31 December 2025, following the exercise of previously agreed share purchase options by Talanx.

Under the economic terms agreed in December 2024, Talanx exercised its options to acquire Meiji Yasuda’s stakes in its Polish subsidiaries, taking full ownership of Towarzystwo Ubezpieczeń i Reasekuracji Warta S.A. and Towarzystwo Ubezpieczeń Europa S.A.. 

The transaction covered a 24.3% stake in Warta and a 50.0% minus one shareholding in TU Europa. The shares were transferred, and the purchase price paid, on 16 February 2026.

As a result of the accounting treatment applied to the contractually agreed option rights, the proportionate earnings of the minority interests acquired have already been fully recognised in the earnings of Talanx’s Retail International division since 1 January 2025.
